  Transmitting Your Request:

  Email your document(s) to be EDGARized to file@SECsmartfilings.com.  Your document(s) must be attached to your email in either Microsoft Word or Excel format.  (To convert your company logo to HTML, we will also need your logo attached as a jpeg (.jpg or .jpeg) file.)

  Your request must include all of the instructions required on the form that follows these directions.  You may transmit these required instructions with signature, along with any additional instructions you wish to provide, either in the body of the email to which your document(s) are attached, or by fax transmission to 818-450-0492.  By submitting your request, you represent that you have the authority to make the request on behalf of the Company whose documents will be EDGARized.  

  YOUR REQUEST IS NOT DEEMED RECEIVED UNTIL IT HAS BEEN CONFIRMED BY AN SECSMARTFILINGS REPRESENTATIVE.  

  If you transmit your request during our normal business hours (Monday through Friday, 7:30 a.m. to 7 p.m. Pacific Time) and do not receive a confirmation email or telephone call from SECsmartfilings within one hour, please call 818-599-2055.  Pre-arranged after hours service is also available.  

  Reviewing Your Draft Converted Documents:

  SECsmartfilings will return your EDGARized document for your review in .PDF format within the turnaround time you specify in your instructions.  You will need Adobe Acrobat Reader 6.0 or higher, which you can download free of charge at www.adobe.com.  Consult our pricing menu for applicable fees for available Guaranteed Turnaround Times, defined as the time between our confirmed receipt of your document and our return of the document to you for review before filing.  TURNAROUND TIME DOES NOT BEGIN UNTIL WE CONFIRM RECEIPT OF YOUR REQUEST.  

  Review your EDGARized document and notify us of any required changes or additions by faxing all edits, along with specific instructions, to 818-450-0492.  

  You will receive your revised documents in .PDF format for further review.   Further and final edits must again be sent via fax to 818-450-0492.  

  Approving Your EDGAR Filing:

  Upon receiving written authorization from you by fax or email, we will LIVE file your document(s) with the SEC.  You will receive notification of the live filing directly from the SEC.  

  SECsmartfilings will do our best to accommodate your last minute and rush requests.  However, to ensure that your final converted documents will be filed in the proper EDGAR format or by a particular filing deadline, please: (a) provide SECsmartfilings with your final edits by 9 a.m. Eastern/6 a.m. Pacific on the date of any major deadline, i.e., quarterly or annual filing deadlines, or (b) provide SECsmartfilings with your final edits by 11 a.m. Eastern/8 a.m. Pacific on all other filing deadlines.  We will gladly accommodate requests for later submission times if at all possible.  To ensure same day LIVE filing, written authorization must be received by 4 p.m. Eastern/1 p.m. Pacific.  

  SECSMARTFILINGS CANNOT FILE DOCUMENTS WITHOUT YOUR EXPRESS WRITTEN APPROVAL.  

  Payment Terms:

  Before the commencement of work, your credit card information must be on file with us.  However, you may elect to pay by credit, check, wire, or balance transfer.  A deposit of the base EDGARizing fee (based on the number of pages in your document and the turnaround time specified) must be paid at the time of your order or 50% of the total when applicable.  Final charges will be assessed once all edits have been processed and the requested work has been completed, and must be paid within ten (10) business days of completion.  If SECsmartfilings does not receive payment within ten business days, we will charge the balance of the fee to the credit card on file with us in the absence of other pre-arranged terms.  

  Your total fee will be based on the turnaround time you select, the number of pages to be edited, graphics (HTML only), filing fee (if you choose to have SECsmartfilings file your document), and revision fee per page where tables are not cell or tab based.  

  All payments made by credit card will incur an additional 2.9% merchants fee.  A fee of $30 will be assessed for returned checks or credit payments refused by your bank.  In addition, payments not received within 30 days of the date due will be charged a 1.5% late fee in addition to the balance due.
