You, the User, acknowledge that all content included on this website, including the information, data, software, photographs, graphs, video, typefaces, graphics, music, sounds, images, illustrations, maps, designs, icons, written and other material and compilations ("Content") are the intellectual property of, and in many instances the copyrighted works of, SECsmartfilings and/or various third party providers.   The reproduction or storage of information or works retrieved from this website, in all forms, media and technologies now existing or hereafter developed, is subject to the U.S. Copyright Act of 1976, Title 17 of the United States Code.  

Trademark Notice

"SECsmartfilings" is the service mark of SECsmartfilings, LLC.   Other product and company names identified on this website from time to time may be the trademark, trade name, service mark, logo, symbol or other proprietary material of a third party.   The use on this website of any such material and/or the availability on this website of specific goods or services provided by any third party should not be construed as an endorsement or sponsorship by that party or an indication that they participate in the offering of goods, services or information on this website.  

Acceptable Use

This website is intended for personal, noncommercial use.   You represent that you are of sufficient legal age and authorized to create binding legal obligations for the person(s) on whose behalf you request or access services from SECsmartfilings.   If a registered customer, you agree to keep your registration and payment information current, complete, and accurate.   It is a violation of law to request services in a false name or with an invalid credit card.   Fraudulent users will be prosecuted to the full extent of the law.  

Pricing and Payment Terms

The services available on this website are provided at the prices set forth on the pricing schedule contained on this website.   All pricing and printed price schedules may be modified at any time without prior notice and are effective as of the time such modifications are posted on this website.   Base prices are determined at the time of receipt of any service requests.   Additional fees apply for revisions, graphics, and other services, as specifically set forth in our pricing schedule.  

Before the commencement of work, your credit card information must be on file with us.   However, you may elect to make payments by credit, check, wire, or balance transfer.   A deposit of the base EDGARizing fee (based on the number of pages in your document and the turnaround time specified) must be paid at the time of your order.   Final charges will be assessed once all edits have been processed and the requested work has been completed, and are due ten (10) business days after completion.   If SECsmartfilings does not receive payment within ten business days, we will charge the balance of the fee to the credit card on file with us in the absence of other pre-arranged terms.  

Your total fee will be based on the turnaround time you select, the number of pages to be edited, graphics (HTML only), filing fee (if you choose to have SECsmartfilings file your document), and revision fee per page where tables are not cell based.  

All payments made by credit card will incur an additional 2.9% merchants fee.   A fee of $30 will be assessed for returned checks or credit payments refused by your bank.   In addition, payments not received within 30 days of the date due will be charged a 1.5% late fee in addition to the balance due.

Warranties

Acceptance of orders with turnaround time requests only guarantee the turnaround time within which a client's document will be transmitted for initial review by the client.   While SECsmartfilings will do our best to accommodate last minute and rush requests, acceptance of all other rush or expedited orders are not guarantees.   To help ensure that your final converted documents will be filed in the proper EDGAR format or by a particular filing deadline, please: (a) provide SECsmartfilings with your final edits by 9 a.m. Eastern/6 a.m. Pacific on the date of any major deadline, i.e., quarterly or annual filing deadlines, or (b) provide SECsmartfilings with your final edits by 11 a.m. Eastern/8 a.m. Pacific on all other filing deadlines.   We will gladly accommodate requests for later submission times if at all possible.   To ensure same day LIVE filing, written authorization must be received by 4 p.m. Eastern/1 p.m. Pacific.

SECSMARTFILINGS CANNOT AND WILL NOT FILE DOCUMENTS WITHOUT YOUR EXPRESS WRITTEN APPROVAL.

Unless otherwise agreed, all products, services, advice, merchandise and information available through this website are provided on an "as is," and "as available basis" without warranties of any kind, express or implied.   SECsmartfilings cannot and does not guarantee or warrant the availability of products and/or services through this site, that use of its services will be error free, the performance or non- performance of this website, or the performance of the Securities Exchange Commission's EDGAR filing system.   SECsmartfilings makes no guarantee regarding the performance of EDGARIZER software or any other software or hardware used by SECsmartfilings.   You expressly agree that the use of this website is at your sole risk.  

UNDER NO CIRCUMSTANCES SHALL SECSMARTFILINGS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR INDIRECT DAMAGES IN RELATION TO OR ARISING FROM ITS REPRESENTATIONS, WARRANTIES, OBLIGATIONS, DUTIES AND/OR PROVISION OF SERVICES TO USER OR THIRD PARTIES AND/OR ANY BREACH THEREOF.   WITHOUT LIMITING THE FOREGOING, THE MAXIMUM LIABILITY OF SECSMARTFILINGS SHALL NOT EXCEED THE VALUE OF ALL COMPENSATION RECEIVED BY SECSMARTFILINGS IN CONNECTION WITH THE REQUEST TO WHICH SUCH LIABILITY RELATES AND AT THE TIME SUCH LIABILITY ARISES.  

Third Parties

If you use this website to submit Requests for or on behalf of a third party ("Third Party"), you are responsible for any error in the accuracy of information provided in connection with such use.   In addition, you must inform the Third Party of all Terms of Service applicable to all products or services acquired through this website, including all rules and restrictions applicable thereto.  

Each User using this website for or on behalf of a Third Party agrees to indemnify and hold SECsmartfilings harmless from and against any and all liabilities, losses, damages, suits and claims (including the costs of defense), relating to the Third Parties or the User's failure to abide by any of these Terms of Service.  

SECsmartfilings cannot be responsible for errors or delays in responding to a Request caused by an incorrect or invalid email address provided by Users or other technical problems beyond SECsmartfilings' control.  

Venue and Choice of Law

Terms of Service shall be governed by and interpreted under the laws of the State of California.   By accessing this website, you consent to the exclusive jurisdiction and venue of the appropriate federal or state courts located in Los Angeles, California, in all disputes arising out of or relating to the use of this website or any service offered through this website.
